1. Acceptance

These Terms govern your access to and use of the Banavo.AI Platform and Services at banavo.ai. By accessing or using the Platform, you agree to these Terms and the Privacy Policy.

2. Definitions

"Customer" means the organization subscribing to the Platform. "Customer Data" means all electronic data submitted by or for the Customer to the Platform. "Sub-Processor" means third parties engaged to process Customer Data.

3. License

Subject to these Terms and payment of applicable fees, Banavo.AI grants the Customer a limited, non-exclusive, non-transferable license to access and use the Platform for internal business purposes.

4. User Accounts

Account holders must provide accurate information and maintain the confidentiality of credentials. You are responsible for activity that occurs under your account.

5. Customer Responsibilities

• Obtain all consents and legal bases necessary to provide Customer Data to Banavo.AI, including required notices to data subjects.
• Ensure data uploaded is lawful and does not infringe third-party rights.
• Use outputs responsibly; verify AI-generated recommendations before relying on them.

6. AI Outputs & Disclaimers

The Platform uses machine learning and third-party LLMs to generate outputs. All outputs are provided "AS IS" and for informational purposes only. Banavo.AI disclaims all warranties, whether express, implied, statutory, or otherwise, including merchantability, fitness for a particular purpose, and non-infringement.

7. Third-Party Services

Banavo.AI may integrate with third-party services (payment processors, data connectors, LLM providers). Use of such services is subject to their terms. Banavo.AI is not responsible for third-party services' conduct or availability.

8. Fees & Payment

Fees are set out in the applicable Order Form or pricing page. Payments are non-refundable except as required by law. Banavo.AI may suspend service for non-payment after providing notice.

9. Confidentiality

Each party shall protect the other's Confidential Information with at least the same degree of care as its own. Confidential Information includes Customer Data and non-public business information.

10. Data Ownership & Rights

Customer retains ownership of Customer Data. Customer grants Banavo.AI a worldwide license to host, process, and analyze Customer Data to provide the service and improve the Platform. Banavo.AI retains ownership of system-generated metadata, models, and aggregated, de-identified improvements.

11. Security

Banavo.AI will maintain reasonable protective measures described in the DPA. Customers are responsible for their internal controls and user access management.

12. Limitation of Liability

To the maximum extent permitted by law, Banavo.AI's aggregate liability is limited to the fees paid by Customer to Banavo.AI in the twelve (12) months preceding the claim. In no event will Banavo.AI be liable for lost profits, loss of business, or indirect, incidental, special, or consequential damages.

13. Indemnification

Customer will indemnify, defend and hold Banavo.AI harmless from third-party claims arising from Customer's use of the Platform, Customer Data, or breach of these Terms.

14. Termination

Either party may terminate for material breach if the breach is not cured within 30 days of notice. Upon termination, Banavo.AI will cease processing Customer Data and delete or return data as set forth in the DPA.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA. Disputes shall be resolved by binding arbitration in Delaware, unless otherwise required by law.

16. Amendments

We may update these Terms. Notice will be provided via email or through the Platform. Continued use after updates constitutes acceptance.

Data Processing Addendum (DPA)
Effective Date: January 1, 2025

1. Parties & Roles

This DPA supplements the Terms of Use between the Customer (Data Controller) and Banavo.AI (Data Processor).

2. Subject-Matter & Duration

Subject-matter: Processing of Personal Data uploaded by Customer. Duration: the term of the Agreement and any additional retention periods required by law.

3. Categories of Data & Data Subjects

Categories: contact information, purchase and transaction histories, behavioral data, identifiers. Data Subjects: Customer's employees, customers, vendors, and end-users.

4. Processing Instructions

Banavo.AI will process Personal Data only on Customer's documented instructions, including for: providing the Platform, generating AI outputs, analytics, and security monitoring.

5. Sub-Processors

Banavo.AI may engage Sub-Processors (e.g., cloud hosts and LLM providers). A current list of Sub-Processors is available on request. Banavo.AI will ensure Sub-Processors are bound by equivalent obligations and will notify Customer of material changes.

6. Technical & Organizational Measures

Technical measures include encryption in transit (TLS) and at rest, role-based access control, logging, vulnerability management, and regular security testing. Organizational measures include confidentiality obligations, least-privilege access, and employee training.

7. International Transfers

Transfers outside the EEA/UK will be subject to appropriate safeguards (e.g., SCCs, UK Addendum).

8. Data Subject Requests

Banavo.AI will assist Customer in responding to data subject requests to the extent required by law and reasonably available to the Processor.

9. Audit Rights

Customer may audit or appoint a third-party auditor (confidentiality bound) once per year with reasonable notice. Audit scope will be limited to Processor's compliance with the DPA and the Agreement.

10. Incident Response & Notification

Banavo.AI will notify Customer without undue delay upon becoming aware of a Personal Data breach affecting Customer Data and will provide reasonable assistance in remediation and regulatory reporting.

11. Deletion & Return

Upon termination or at Customer's request, Banavo.AI will delete or return Customer Personal Data within 30 days, except where retention is required by law; Processor will isolate retained data and restrict access.

12. Liability

Each party's liability is subject to limitations in the Agreement. Processor will remain liable for breaches caused by its failure to comply with the DPA and for acts of Sub-Processors.

13. Miscellaneous

This DPA is governed by the governing law in the Agreement and survives termination as necessary to meet legal obligations.
